Terms of Service
Last updated: 1 July 2025. These Terms of Service (Terms) form a binding agreement between you and Vicroo Towing and Transport Pty Ltd (ABN 93 703 620 437) (Vicroo, we, us or our). They govern your use of the website vicrootowingandtransport.online (the Website) and the freight and logistics services we provide, including towing, vehicle transport and general freight carriage (the Services).
By requesting a quote, placing a booking, tendering goods to us or otherwise using the Services, you confirm that you have read, understood and agree to be bound by these Terms.
1. About these Terms
- These Terms apply together with any quotation, booking confirmation, schedule of rates or consignment note we issue for a particular job.
- If a document we issue for a specific job conflicts with these Terms, that document prevails to the extent of the conflict, except where these Terms cannot be excluded by law.
- References to goods mean any freight, vehicles, pallets, machinery, personal effects or other items we agree to carry, store or handle for you.
2. Our Services
- We provide freight and logistics services from Melbourne VIC, including local and interstate towing, vehicle transport, palletised and general freight cartage, and related logistics support.
- Service descriptions on the Website are general in nature. The specific services, routes, timeframes and charges that apply to your job are set out in your quote, booking confirmation or consignment note.
- We may subcontract all or part of a job to a reputable third-party carrier. Where we do so, we remain responsible for the performance of the Services under these Terms to the extent permitted by law.
3. Quotes and Bookings
- Quotes are valid for the period stated in the quote or, if no period is stated, for 14 days from the date of issue.
- Quotes are based on the information you provide. If the details of a job change (for example, the type, weight, volume or location of the goods, or the access conditions at a site), the quote may need to be revised before we proceed.
- A booking is confirmed when we accept your instruction in writing (including by email) and, where required, you pay any deposit or booking fee set out in the quote.
- You must review your booking confirmation carefully and tell us promptly if anything is incorrect.
4. Prices and Payment
- All prices are quoted and charged in Australian dollars and, unless expressly stated otherwise, include GST.
- Unless your quote states otherwise, payment is due on completion of the job, or within 7 days of the date of our tax invoice for approved account customers.
- You must pay by the methods listed on your invoice and must not withhold payment or set off any amount except as required by law.
- If you dispute an invoice, you must notify us in writing within 7 days of the invoice date, setting out the reasons for the dispute. The undisputed portion must be paid by the due date.
- Overdue amounts may, to the extent permitted by law, attract interest and reasonable recovery costs.
5. Your Obligations
You must, in respect of each job:
- provide complete and accurate information about the goods, including their nature, weight, dimensions, value and any handling requirements;
- ensure the goods are lawfully yours to consign, or that you have the owner's authority to consign them;
- properly pack, wrap, palletise, secure, label and prepare the goods for carriage, having regard to the nature of the goods and the journey involved;
- declare any dangerous, hazardous, perishable, fragile, high-value or regulated goods before booking, and comply with all applicable laws, including the Australian Dangerous Goods (ADG) Code where relevant;
- ensure safe and lawful access to pickup and delivery points, including adequate space, clearance and surfaces for our vehicles and equipment;
- for vehicle transport, make the vehicle available with keys (where applicable), current registration and any documents we reasonably require;
- ensure an authorised person is available to sign or otherwise acknowledge pickup and delivery where required; and
- comply with our reasonable safety directions at all times.
We may refuse or suspend carriage of any goods that do not comply with this clause, or that we reasonably believe are unsafe, unlawful or insufficiently described.
6. Pickup, Transit and Delivery
- Times and dates for pickup, transit and delivery are estimates only and are not guaranteed, unless we expressly agree otherwise in writing.
- We will use reasonable endeavours to meet agreed schedules, but journeys may be affected by traffic, weather, road conditions, regulatory requirements, loading and unloading queues, and other factors beyond our reasonable control.
- Delivery is taken to occur when the goods are delivered to the address or person nominated in the booking, or where delivery cannot be effected, when we place the goods in or at a reasonable location and notify you. Redelivery and storage charges may apply in those circumstances.
7. Risk and Insurance
- Risk in the goods passes in accordance with the consignment note or, where the consignment note is silent, at the point and time required by the law governing the carriage.
- Unless we agree in writing to arrange insurance on your behalf, you are responsible for arranging your own insurance for the goods. If we arrange insurance, we do so as your agent on the terms of the relevant policy, and we give no warranty about the adequacy of the cover.
8. Liability and Consumer Guarantees
8.1 Australian Consumer Law
Nothing in these Terms excludes, restricts or modifies any consumer guarantee, right or remedy that cannot be excluded, restricted or modified under the Australian Consumer Law (being Schedule 2 of the Competition and Consumer Act 2010 (Cth)) or any other applicable law.
In particular, our Services come with guarantees that cannot be excluded under the Australian Consumer Law. You are entitled to a refund or replacement for a major failure and to compensation for any other reasonably foreseeable loss or damage. You are also entitled to have the Services remedied or resupplied if they fail to be of acceptable quality and the failure does not amount to a major failure.
8.2 Limitation of liability
Subject to clause 8.1:
- our total liability arising out of or in connection with a job is limited (at our election) to resupplying the Services or paying the cost of having the Services resupplied;
- we are not liable for indirect or consequential loss, loss of profit, loss of revenue, loss of business opportunity or loss of anticipated savings;
- our liability for loss of or damage to goods carried by us is subject to the consignment note and any applicable carrier liability regime. You should raise any claim for loss of or damage to goods with us promptly and, in any event, within 7 days of delivery (or the expected delivery date); and
- you acknowledge that the limitations in this clause are reasonable, having regard to the nature and cost of the Services.
9. Cancellations, Changes and Delays
- If you cancel or vary a booking, you must give us as much notice as possible. Cancellation or variation fees may apply where we have committed vehicles, equipment, crew or subcontracted carriers to your job.
- Where you are a consumer and the Australian Consumer Law applies, nothing in this clause limits any right you may have where a service is not supplied with due care and skill, is not fit for purpose, or is not supplied within a reasonable time.
- If we cancel a booking other than for reasons outside our reasonable control or your breach of these Terms, we will refund any deposit or prepayment relating to the cancelled job.
10. Force Majeure
We are not liable for delays or failures in performance caused by events beyond our reasonable control, including natural disasters, floods, fires, severe weather, road closures, industrial action, government restrictions, cyber incidents, pandemics and failures of third-party networks or utilities. Where such an event occurs, we will notify you as soon as practicable and work with you to agree a reasonable alternative arrangement.
11. Your Indemnity
You indemnify us, and hold us harmless, against any loss, liability, claim, fine, penalty or expense (including reasonable legal costs) arising from:
- your breach of these Terms;
- inaccurate, incomplete or misleading information you provide about the goods or a job;
- goods that are dangerous, unlawful, improperly packed or inadequately labelled; or
- your negligence or wilful misconduct,
except to the extent caused by our negligence or breach of these Terms.
12. Privacy
We handle personal information in accordance with our Privacy Policy and the Australian Privacy Principles. By using the Website or the Services, you consent to the collection, use and disclosure of personal information as described in that policy.
13. Website Content and Use
- The Website and its content (including text, layout and graphics) are owned by or licensed to Vicroo and are protected by copyright and other laws.
- You may view, download and print material from the Website for your own personal or internal business use. You must not reproduce, republish or exploit Website content for any other purpose without our prior written consent.
- You must not use the Website in a way that is unlawful or fraudulent, or that interferes with or disrupts the Website or its supporting systems.
14. Dispute Resolution
- If a dispute arises, please contact us first (see clause 17). We will aim to acknowledge your query within 2 business days and to resolve genuine disputes fairly and promptly.
- If a dispute is not resolved by discussion, the parties agree to try in good faith to resolve the dispute through mediation in Melbourne VIC before commencing proceedings, except where urgent relief is required.
- Nothing in this clause prevents either party from exercising rights under the Australian Consumer Law or any other law that cannot be excluded.
15. Governing Law
These Terms are governed by the laws of Victoria, Australia, and the parties submit to the non-exclusive jurisdiction of the courts of Victoria.
